Zaovra End User License Agreement

1. Parties

This End User License Agreement ("Agreement") is between:

  • Licensor: Guangzhou Guangzhan Intelligent Technology Co., Ltd. (广州光栈智能科技有限责任公司)
  • User: the individual or organization that installs, activates, or uses Zaovra

2. Product

"Zaovra" means the Zaovra desktop application, related runtime components, updates, documentation, and bundled assets provided by the Licensor.

Use of the Zaovra website, account portal, subscriptions, and downloads is also governed by the Zaovra Terms of Service at https://zaovra.com/legal/terms-of-service, which supplements this Agreement where applicable.

3. License Grant

Subject to this Agreement, payment of applicable fees, and an active subscription or entitlement, the Licensor grants the User a limited, non-exclusive, non-transferable, revocable license to install and use Zaovra for internal development and productivity purposes.

This Agreement grants a license only. It is not a sale of the software.

4. Account, Subscription, and Device Activation

Zaovra requires account authentication and an active paid entitlement before core product features are available.

Zaovra may require activation through an account, subscription status, device token, or activation code. Device limits depend on the User's plan and any administrator override shown in the account portal. Unless otherwise stated for the User's account:

  • Pro plans: up to 1 activated device
  • Business plans: up to 5 activated devices
  • Other or custom entitlements: as shown in the account portal

The User agrees not to bypass, disable, tamper with, or interfere with license verification, device limits, subscription checks, update checks, or related security controls.

Zaovra may cache a recent successful license verification locally to support a short offline grace period of up to 7 days when the User was previously fully active. Offline grace does not create a permanent right to use paid features without an active entitlement.

5. Restrictions

Unless expressly permitted in writing, the User may not:

  1. copy, redistribute, sublicense, rent, lease, sell, or host Zaovra for third parties outside the licensed organization;
  2. share installers, license keys, device tokens, activation codes, or activation credentials outside the licensed organization;
  3. reverse engineer, decompile, disassemble, modify, or create derivative works of Zaovra except where applicable law prohibits this restriction;
  4. remove branding, copyright notices, license notices, security controls, or required disclosures;
  5. use Zaovra to violate laws, third-party rights, platform rules, or service provider terms;
  6. use Zaovra in high-risk environments where failure could lead to death, personal injury, or severe physical or environmental damage unless separately agreed in writing.

6. Enterprise Internal Distribution

The User may distribute Zaovra installers internally within its organization for deployment to licensed users, subject to seat/device limits, confidentiality obligations, and the restrictions in Section 5.

Internal distribution does not permit sharing installers, activation credentials, or download links with customers, contractors outside the organization, resellers, or the public unless expressly authorized in writing.

7. Updates

The Licensor may provide updates, patches, or new versions. Some updates may be required for security, license validation, or compatibility.

The Licensor may discontinue support for older versions after reasonable notice.

8. Third-Party Services and Providers

Zaovra may integrate with third-party services, model providers, developer tools, cloud APIs, MCP servers, or local command-line tools.

The User is responsible for:

  • obtaining and maintaining third-party accounts and API keys;
  • complying with third-party terms;
  • reviewing data sent to third-party services;
  • configuring permissions and credentials safely.

The Licensor is not responsible for third-party service outages, pricing, policy changes, model output, or data handling by third parties.

9. Data and Privacy

Use of Zaovra is subject to the Zaovra Privacy Policy at https://zaovra.com/legal/privacy.

Zaovra may process license status, device information, diagnostic information, and user-provided configuration as described in the Privacy Policy.

10. Feedback

If the User provides feedback, suggestions, bug reports, or feature ideas, the Licensor may use them without restriction or obligation, unless separately agreed in writing.

11. Ownership

Zaovra is owned by the Licensor and its licensors. The User receives only the limited rights expressly granted in this Agreement.

All rights not expressly granted are reserved.

12. Open Source and Third-Party Notices

Zaovra may include third-party open-source components. Those components are licensed under their own licenses.

13. Refunds

Fees paid for Zaovra subscriptions or entitlements are generally non-refundable, except where required by applicable law or expressly approved by the Licensor in writing.

If the User believes a special circumstance applies, the User may contact support@zaovra.com. Approval of any exception is at the Licensor's sole discretion unless mandatory law provides otherwise.

14. Warranty Disclaimer

Zaovra is provided "as is" and "as available" to the maximum extent permitted by law.

The Licensor disclaims all warranties, including implied warranties of merchantability, fitness for a particular purpose, non-infringement, and uninterrupted or error-free operation.

15. Limitation of Liability

To the maximum extent permitted by law, the Licensor will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost revenue, lost data, business interruption, or procurement of substitute services.

The Licensor's total liability for any claim arising out of or relating to Zaovra will not exceed the amount paid by the User for Zaovra during the 12 months before the event giving rise to the claim.

16. Termination

The Licensor may suspend or terminate the license if the User breaches this Agreement, fails to pay applicable fees, tampers with license controls, or uses Zaovra unlawfully.

Upon termination, the User must stop using Zaovra and delete copies under its control, except as retention is required by law.

17. Governing Law and Dispute Resolution

This Agreement is governed by the laws of the People's Republic of China, excluding conflict-of-law rules.

Any dispute arising out of or relating to this Agreement shall be submitted to Guangzhou Arbitration Commission (广州仲裁委员会) for arbitration in accordance with its then-effective rules. The seat of arbitration shall be Guangzhou, China, unless the rules or mandatory law require otherwise.

18. Changes

The Licensor may update this Agreement for future versions or renewals. Material changes should be communicated through the app, website, release notes, or account portal.

Continued use after the effective date of an updated Agreement constitutes acceptance where permitted by law.

19. Entire Agreement

This Agreement, the Privacy Policy, applicable order forms, website Terms of Service, and third-party notices form the entire agreement regarding Zaovra software use.

If there is a conflict between this Agreement and the website Terms of Service, this Agreement governs the desktop software and the Terms of Service govern account, billing, and web services, except where mandatory law requires otherwise.
